Terms of Service

These Terms of Service ("Terms") govern your access to and use of AutoSAM. By using the service, you agree to these Terms.
1. Eligibility and account responsibility
You must be at least 18 years old to use AutoSAM. You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
2. Service scope
AutoSAM provides monitoring, alerts, and workflow tools related to public-sector compliance and opportunity operations. We may update features over time, including adding, modifying, or retiring capabilities.
3. Billing and subscriptions
Paid plans are billed in advance through Stripe. Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle. You can manage or cancel from your billing settings. 4. Acceptable use policy
You agree not to misuse the service. Prohibited behavior includes, but is not limited to, scraping or bulk extraction beyond plan limits, reselling platform data without authorization, sharing account access outside your organization, and attempting to bypass security controls. 5. Compliance and third-party sources
AutoSAM may rely on third-party or public data sources. We do not guarantee continuous availability or absolute accuracy of external data. You remain responsible for your own legal, contractual, and regulatory obligations.
6. Intellectual property
AutoSAM and its content, software, and branding are protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable right to use the service during your subscription term.
7. Termination
We may suspend or terminate access for material breach, abuse, non-payment, or behavior that threatens platform integrity or other customers. You may stop using AutoSAM at any time.
8. Disclaimers and limitation of liability
AutoSAM is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, AutoSAM is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
9. Changes to these terms
We may update these Terms. If changes are material, we will update this page and adjust the effective date above.

11. Free tier and trials
AutoSAM may offer a Free or Starter plan at no cost. Free-tier access is provided without warranty of any kind, does not include uptime commitments or support SLAs, and may be discontinued, modified, or rate-limited at any time without prior notice. GovCertix LLC reserves the right to convert, sunset, or restrict free plans at its sole discretion.
12. Data processing
Business customers who require a Data Processing Agreement ("DPA") for GDPR, CCPA, or similar data-protection compliance may request or execute one at /legal/dpa. Execution of a DPA does not modify these Terms except to the extent expressly stated in the DPA.
13. User data ownership
You retain all ownership rights in your monitoring configurations, uploaded content, and exported data ("Customer Data"). By using the service, you grant GovCertix LLC a limited, non-exclusive, royalty-free license to process Customer Data solely to operate, maintain, and improve AutoSAM. Upon termination, you may export your Customer Data in accordance with the then-current export functionality.
14. Indemnification
You agree to indemnify, defend, and hold harmless GovCertix LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use or misuse of the service, your violation of these Terms, or your violation of any applicable law or regulation.
15. Force majeure
Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to SAM.gov data source outages, government system unavailability, acts of God, natural disasters, pandemics, war, terrorism, labor disputes, internet or telecommunications infrastructure failures, or governmental actions.
16. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GOVCERTIX LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS AT YOUR SOLE RISK.
17. Dispute resolution
Before initiating formal proceedings, you agree to attempt informal resolution by sending a written description of the dispute to legal@autosam.io. The parties shall negotiate in good faith for thirty (30) days. If the dispute is not resolved informally, either party may submit the matter to binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules in Fairfax County, Virginia. Each party waives any right to participate in a class, collective, or representative action. Any claim must be brought within one (1) year after the cause of action arises, or such claim is permanently barred.
18. Governing law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any litigation not subject to arbitration under Section 17 shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and each party consents to personal jurisdiction therein.
19. General provisions
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any executed DPA, constitute the entire agreement between you and GovCertix LLC regarding AutoSAM.
- No waiver. Failure by GovCertix LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment. GovCertix LLC may assign these Terms or any rights hereunder without restriction. You may not assign or transfer these Terms without the prior written consent of GovCertix LLC.
20. Notices
All formal legal notices under these Terms must be delivered in writing. Notices from GovCertix LLC to you will be sent via one or more of the following methods:
- Email. To the email address associated with your AutoSAM account. Notices sent by email are deemed received on the date of transmission.
- In-app notification. For material changes to these Terms, we may display a prominent banner or notification within the AutoSAM application. Such notice is deemed received upon first login after the notification is posted.
- Postal mail. For legal process, subpoenas, or other formal legal communications, notices may be sent to the address on file for your organization.
